Hi Ian, all,

thanks for the help so far.  No luck yet, or perhaps excess incompetence...

here is what I have tried.

sudo apt-get install ndiswrapper-util, ndisgtk as per ubuntu wiki  
instructions.

diagnostic output.
# ndiswrapper -l
No drivers installed

remove and re-attach usb dongle

# dmesg
[4303223.685000] usb 1-2: USB disconnect, address 4
[4303262.101000] usb 1-2: new full speed USB device using uhci_hcd and  
address 5
[4303262.254000] usb 1-2: device descriptor read/64, error -71

# lsusb

add drivers with ndiswrapper
sudo ndiswrapper -i /path/to/winXP/drivers/rt73.inf

check drivers...
# ndiswrapper -l
Installed ndis drivers:
fw54u   invalid driver!
rt73    invalid driver!

rt73 drivers from sourceforge - e.g. rt2x00 nightly CVS tarball
according to the readme the minimum kernel is 2.6.13...
# uname -r
2.6.12-10-386

And that's about where I run out of ideas....
