   I solved the problem !
  Ifconfig show me an up intreface, no errors.

In /var/log/messages I have some errors like :

Netdev Watchdog eth1 trnsmit timeout...
Reseting card.......

But I resolved with replaceing i82365 from PCIC with yenta_socket.

PCI card work now !.
